01 Terms
The terms, in plain words.
Scope, price and timeline are agreed in writing before any work begins. These terms are written for the people who will read them closely: your procurement, legal and compliance teams.
02 Agreement
Who this is between.
- ProviderFluxaro LLC, a limited liability company registered in Connecticut, United States, run by its two founders.
- ClientThe business named in the proposal or statement of work for the engagement. The person who accepts it on the business's behalf confirms they have the authority to do so.
- Contactadmin@fluxaro.tech reaches both founders directly. Mike builds; Enzo runs research, proposals and billing.
- NoticesFormal notices go to Fluxaro LLC, 11 Marlborough Rd., Norwalk, CT 06851, United States, and to admin@fluxaro.tech.
- AgreementUsing this site, or engaging Fluxaro to build or maintain anything, means you accept these terms. If you do not accept them, do not use the service.
- PrecedenceThese are general terms. A signed proposal, statement of work or agreement for a specific engagement prevails over them where the two conflict. Anything the signed document does not address is governed by these terms.
- Your paperworkIf your firm needs its own master agreement, vendor terms or purchase order to govern the work, raise it before the scope is signed. Terms printed on a purchase order, supplier portal or invoice form apply only where both sides have signed them.
- Effective10 October 2026.
03 The work
Agreed in writing, before it is built.
- ScopeBefore work begins, a written scope sets out what will be built, the price, the timeline, the routes and data model, the security posture and the providers the build will use. Work starts once both sides have agreed it.
- Who does itYou work directly with the founders.
- ChangesA change to the scope is quoted before it is built, never invoiced after. Work on a change starts only once you have agreed its quote in writing, and the timeline moves with it where it has to.
- Out of scopeAnything the scope does not list is outside it until it has been quoted and agreed.
- ReviewsWork is shared for review at the points the scope sets. Feedback works best as one consolidated round from the person at your firm who can approve it.
- Drafted contentWhere a build includes the blog agent, every post it drafts is approved by you before it is published. Any regulated claim in a drafted post is reviewed by you like any other claim on your site.
- AcceptanceThe scope says what each deliverable has to do to be accepted. Where it sets no other test, your written approval to publish (an email is enough) is acceptance of that deliverable.
- TimelinesDates assume that materials, access and approvals arrive when the scope says they will; when they arrive later, the dates move. We tell you in writing as soon as we know a date is at risk.
04 Your side
What we need from you.
- Accurate informationGive us information that is accurate and complete, and tell us when it changes. We build on what you tell us.
- FeedbackReview drafts and give feedback and approvals within the times the scope sets, and name the person at your firm who gives final approval.
- Your materialsYou confirm that you hold the rights to the logos, trademarks, photos, documents, data and text you send us, and that publishing them does not infringe anyone's rights or break a confidentiality duty you owe.
- CredentialsKeep the logins we give you, including dashboard accounts, confidential. Grant access to your own systems only as far as the scope needs, and remove it when it is no longer needed. Tell us at once if you think a credential has been exposed.
- Telling usTell us promptly when something is wrong: an error on the site, a complaint, a regulator's question about published content, or a change in the rules that apply to you.
- Regulated claimsProduct, medical, financial and other regulated claims published on your site are approved by you before they go live. Fluxaro is not your regulatory, legal or compliance reviewer.
- Your obligationsThe laws, rules and professional standards that apply to your firm remain yours. The regulated industries section below sets out how that works, sector by sector.
05 Fees and payment
Invoiced plainly, paid through Stripe.
- FeesA project fee for the build and, where the agreement includes it, a monthly fee for hosting, maintenance and support. The packages on this site describe what a build can include, not its price: amounts, what they cover and when they are due are written into your agreement before work starts.
- InvoicesIssued through Stripe and due on receipt.
- Card detailsCard details go to Stripe directly and never reach Fluxaro.
- Your processIf your accounts payable team needs a purchase order number or supplier registration before it can pay, tell us before the first invoice is issued.
- Late paymentLate payment may pause services, including work in progress and monthly services, until the invoice is settled. Timelines move by the length of the pause.
- RefundsProject fees already paid are non-refundable, except where the law requires otherwise.
06 Monthly services and ending
Thirty days, either side.
- Monthly servicesHosting, maintenance and support, where your agreement includes them, run month to month at the fee written into that agreement.
- EndingEither side may end monthly services with thirty days' written notice.
- Fees paidProject fees already paid are not refunded when services end, except where the law requires otherwise.
- The siteWhen the service ends, the site goes offline.
- The domainWhen you leave, Fluxaro transfers the domain to you on request. You pay any fee the transfer requires, such as registrar or transfer fees.
- Your materialsThe materials and data you supplied remain yours. On request, we return or delete the copies we hold, unless the law requires us to keep them.
- Your customers' dataData your customers submitted through the website, such as enquiries and form entries, is returned to you or deleted, at your choice, subject to any retention the law requires.
- DeliverablesYou receive the deliverables your signed agreement entitles you to.
- Plan the exitBecause the site goes offline when the service ends, plan any replacement before your notice period runs out.
07 Ownership
What we build stays ours.
- Fluxaro ownsThe website and everything built for it belong to Fluxaro: the code, the designs, the frameworks, the build, the copy and assets Fluxaro produced for it, and Fluxaro's other intellectual property. All of it remains Fluxaro's property unless a signed agreement expressly states otherwise.
- No handoverNo copy of the code or the site files is handed over, during the engagement or after it ends, unless a signed agreement expressly provides for it.
- While it runsWhile your service is active, Fluxaro runs the site for your business.
- You keepWhat was always yours stays yours: the logos, trademarks, photos, documents, data and other pre-existing material you supplied.
- Licence to usYou license those materials to Fluxaro only to deliver the service.
- The domainWhen you leave, Fluxaro transfers the domain to you on request, and you pay any fee the transfer requires, such as registrar or transfer fees.
- When it endsWhen the service ends, the site goes offline.
- Before you signOwnership of the code and a copy of the site files are not part of an engagement unless the signed agreement expressly says so. If your procurement rules require either, raise it before anything is signed.
08 Confidentiality
What you share stays between us.
- MutualEach side keeps the other's non-public information confidential and uses it only for the engagement.
- NDAA mutual non-disclosure agreement is signed on request, before any confidential material is shared.
- What it coversBusiness plans, client and patient lists, pricing, unpublished product information, internal documents, and anything marked confidential or reasonably understood to be.
- What it does notInformation that is public through no fault of the receiving side, that it already knew, that it developed independently, or that it received lawfully from someone else.
- Required by lawIf the law, a court or a regulator requires disclosure, the side that must disclose shares only what is required and, where the law allows, tells the other side first.
- After the endConfidentiality continues after the engagement ends.
09 Data inside builds
Your data, on your instructions.
- InstructionsClient data inside a build is processed only on your instructions.
- In the scopeWhere a build stores personal or client data, where it is hosted, who can reach it and which providers process it are written into the scope before work begins.
- Only what is namedA build collects the fields the scope names and no others.
- Health dataFluxaro does not handle protected health information and does not sign business associate agreements. Nothing it builds collects protected health information.
- Other regulated dataExport-controlled technical data and other regulated data are not handled unless the scope says so and any agreement the law requires is signed first. The regulated industries section below covers each case.
- If something goes wrongIf we become aware that client data in a build has been accessed without authorisation, we tell you promptly in writing, with what we know at the time.
- Your dutiesYou decide what a build collects, and you remain responsible for the notices, consents and records the law requires of you for that data.
- This websiteHow this website handles its visitors' data is set out under Privacy.
10 Third-party services
Every provider, named in writing.
- ProvidersHosting, email, payment and other providers used by a build run under their own terms. The agreement names each one and who holds the account. That includes any AI model provider a build sends your data to: it is a provider that processes your data, and it is named in the scope like any other.
- No AI trainingFluxaro does not use personal data from your enquiries or your systems to train AI models. Any AI provider a build uses is chosen and configured so that the data sent to it is not used to train models either.
- ChangesA provider that will process your data is added or replaced only once it has been written into the scope.
- Your accountsWhere a build connects to a system you already use, such as a CRM or a booking tool, the connection runs under your account with that provider and its terms. You can withdraw our access at any time.
- Their serviceFluxaro does not control third-party providers and is not responsible for their outages, changes or terms.
- This websiteThe providers this website itself uses are listed under Privacy.
11 Security and attestations
What we hold, and what we do not.
- Posture firstThe security posture is written down before anything is designed, and the OWASP Web and LLM maps live with the code.
- AttestationsFluxaro holds no SOC 2, ISO 27001, HIPAA or GxP attestation, and has commissioned no independent security assessment.
- If you need oneIf your procurement process requires an attestation, a certification or an independent assessment, say so before the scope is signed.
- QuestionnairesSecurity questionnaires are answered with what is in place on the day, not with what is planned.
- Your testingIf you want to run your own security testing against a build, agree its timing and scope with us in writing first.
- Your accessWho at your firm holds access to a build, and removing it when people leave, is yours to manage.
12 Regulated industries
Your regulator, your sign-off.
Fluxaro builds and runs the website. It is not your regulatory, legal or compliance reviewer, and nothing it builds or publishes is legal, regulatory, medical or financial advice. The rules below are named so your reviewers know what stays with them; your counsel decides which ones apply to you.
Pharmaceutical and medical device firms:
- YoursEvery promotional claim, and its medical, legal and regulatory review, before it goes live. For prescription drugs that includes the fair balance FDA requires in advertisements between information on side effects and contraindications and information on effectiveness (21 CFR 202.1(e)(5)(ii)) and the brief summary of side effects, contraindications and effectiveness (21 U.S.C. 352(n)). For restricted devices it includes advertising that is not false or misleading and that states intended uses and relevant warnings (21 U.S.C. 352(q) and (r)).
- SubmissionsAny submission of promotional material to FDA, such as Form FDA 2253 at the time of first dissemination for an approved drug (21 CFR 314.81(b)(3)(i)), is yours to make.
- Not oursFluxaro does not write or approve medical or regulatory claims and does not decide what is on label. It publishes the version your review approved.
- GxPFluxaro holds no GxP attestation and makes no claim that a build is validated for GxP use. Do not use a build to create or keep GxP-regulated records unless that has been raised, and written into the scope, before it is signed.
Medical and dental groups:
- Patient dataFluxaro does not handle protected health information and does not sign business associate agreements. Under HIPAA, a covered entity may let a business associate create, receive, maintain or transmit protected health information on its behalf only under a written agreement giving satisfactory assurance that it will be safeguarded (45 CFR 164.502(e) and 164.504(e)). Since Fluxaro signs none, nothing it builds may collect protected health information.
- FormsForms on a site we build for a practice must not collect symptoms, diagnoses, treatment details or any other protected health information. Contact and booking forms ask only for what the scope names. Telling patients not to send clinical details through them, and dealing with anything they send anyway, is your practice's responsibility.
- Clinical systemsAnything that needs protected health information, such as clinical intake, patient messaging or records, belongs in an appropriate third-party system your practice chooses and contracts with directly. The site can link to it.
- Patient contentPatient stories, reviews, photos and before and after images are yours to clear with each patient before they are published.
- Not oursFluxaro is not your privacy officer and does not decide what HIPAA requires of your practice.
Financial firms:
- AdvisersFor an investment adviser, content on your site can be an advertisement under the SEC Marketing Rule (17 CFR 275.206(4)-1), which covers untrue and unsubstantiated statements, testimonials, endorsements, third-party ratings and performance. Reviewing that content, and keeping a copy of each advertisement as the adviser books and records rule requires (17 CFR 275.204-2(a)(11)), is yours.
- Broker-dealersFor a FINRA member, Rule 2210 requires a registered principal to approve each retail communication before the earlier of its use or filing (Rule 2210(b)(1)(A)) and requires communications to be retained under SEA Rule 17a-4 (Rule 2210(b)(4)(A)). Approval, filing and retention are yours. Tell us which required references and links, such as BrokerCheck under Rule 2210(d)(8), must appear, and we place them where your review says.
- RecordsFluxaro is not your books and records archive. Capturing and keeping copies of your site as your rules require is your firm's responsibility unless the scope says otherwise.
- Not oursFluxaro gives no investment, legal or compliance advice and does not decide whether content is an advertisement or a retail communication.
Law firms:
- The rulesA law firm's website is a communication about its services. ABA Model Rule 7.1 bars false or misleading communications about a lawyer's services, and Rules 7.2 and 7.3 cover advertising and solicitation. Each state adopts its own version, and the versions differ.
- YoursDeciding which states' rules apply, the labels and disclaimers they require, any filing or copy-keeping they require, and approving every page, case result and testimonial before it is published.
- Not oursFluxaro is not a law firm and gives no legal advice.
Manufacturers:
- Controlled dataDo not share technical data controlled under the ITAR (22 CFR parts 120 through 130; technical data is defined at 22 CFR 120.33) or technology controlled under the EAR (15 CFR parts 730 through 774) with Fluxaro unless a written agreement covering it is in place first. Under the EAR, releasing controlled technology to a foreign person inside the United States counts as an export, a deemed export (15 CFR 734.13).
- YoursClassifying your products and data, and clearing drawings, specifications and process detail through your own export review before you send them for publication. A public website publishes to the world.
- Not oursFluxaro does not classify items, determine export jurisdiction or apply for licences.
Professional services and consultancies:
- Your clientsYour confidentiality duties to your own clients stay yours. Do not share their confidential information with us, or ask us to publish their names, logos, matters or results, without their permission.
- Case studiesCase studies and testimonials are approved by you before they go live, and by the client they name.
- Your rulesAny advertising, solicitation or independence rules your profession sets are yours to apply to what we publish.
- Not oursFluxaro does not decide what your professional rules permit you to say about your work or your clients.
13 Acceptable use
Nothing unlawful, on anything we build.
- Not allowedNothing unlawful, harmful or deceptive published on a site we built: no infringing material, no malicious code, no unlawful collection of personal data, and no false or misleading claims.
- SuspensionWe may suspend service if that happens, with written notice where possible. A suspended site may be taken offline until the problem is resolved.
- This websiteDo not try to break this site's security, overload it or copy it in bulk, and use its forms for genuine enquiries only.
- Not adviceWhat this website says is general information about Fluxaro, not legal, regulatory, financial or medical advice.
14 Warranties and disclaimers

- ExcludedIndirect and consequential losses.
- Governing lawThe laws of the State of New York govern these terms, and disputes are resolved in the courts of New York.
16 General terms
The clauses that hold it together.
- Force majeureNeither side is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, widespread internet or hosting outages, or government action. The side affected tells the other promptly. This does not excuse payment of fees already due.
- AssignmentNeither side may transfer the agreement to anyone else without the other's written consent.
- IndependentFluxaro works as an independent contractor. Nothing in the engagement creates a partnership, joint venture, employment or agency, and neither side can bind the other.
- NoticesNotices under these terms are given in writing. Email to admin@fluxaro.tech, or to the contact named in your agreement, counts as written notice, including notice to end monthly services. Formal legal notices also go by post to Fluxaro LLC, 11 Marlborough Rd., Norwalk, CT 06851, United States.
- SeverabilityIf a court finds part of these terms unenforceable, that part applies as far as the law allows and the rest stands.
- Entire agreementThese terms, your signed proposal or statement of work, any non-disclosure agreement between us and any other agreement both sides sign for the engagement are the whole agreement for it, and they replace earlier discussions about it.
- SurvivalOwnership, confidentiality, amounts owed, the liability limits and governing law continue to apply after the engagement ends.
- No waiverNot enforcing a term straight away does not give it up.
17 Changes and questions
When these terms change.
- ChangesUpdated periodically. Active clients are told about material changes; continued use after a change is acceptance of it.
- Signed workA change to these terms does not alter a signed proposal or statement of work already in force.
- Questionsadmin@fluxaro.tech, which reaches both founders directly.
